1. Acceptance of Terms
By installing or using B2B Buyer Portal ("the Service"), operated by [LEGAL_ENTITY_NAME], you agree to be bound by these Terms of Service. If you do not agree to these terms, do not install or use the application.
2. Description of the Service
The Service provides Shopify merchants with tools to create B2B wholesale registration forms, review and approve applicant credentials, assign wholesale customer tags, track net-term credit limits, and dispatch status notifications via Twilio (WhatsApp) and Resend (Email).
3. Merchant Responsibilities
Merchants are solely responsible for:
- Ensuring that collecting business credentials, tax identifiers, or trade licenses complies with all applicable privacy laws in their operating jurisdictions.
- Verifying buyer information, assessing buyer creditworthiness, and making final approval or rejection decisions.
- Providing appropriate privacy notices to their wholesale applicants on storefront registration forms.
4. Subscriptions & Billing
All recurring subscription charges, trial periods, and tier upgrades are processed exclusively through the Shopify Billing API in accordance with Shopify's partner terms.
5. Service Availability & Limitations
The Service is provided on an 'as is' and 'as available' basis. We make reasonable efforts to maintain uptime and reliability, but cannot guarantee uninterrupted service. Deliverability of WhatsApp or Email notifications is subject to third-party network policies (Twilio and Resend).
6. Termination & App Uninstallation
You may terminate your use of the Service at any time by uninstalling the app from your Shopify Admin. Upon uninstallation and receipt of Shopify's shop/redact webhook, your stored data will be removed in accordance with our data retention policy.
